Acceptance of Terms
All sales are subject to and expressly conditioned upon these Terms. Any additional or different terms proposed by Buyer are objected to and rejected unless expressly agreed to in writing by Seller.
Orders and Pricing
-All prices are in EGP unless otherwise stated.
-Prices are subject to change without notice prior to acceptance of an order.
-Orders are not binding on Seller until confirmed in writing.
Delivery and Risk of Loss
-Delivery dates are estimates only and not guaranteed.
-Risk of loss passes to Buyer upon delivery to the carrier.
-Seller shall not be liable for delays or failure in delivery due to causes beyond its reasonable control.
Inspection and Acceptance
-Buyer shall inspect Products within the receipt day.
-Products shall be deemed accepted unless written notice of rejection is provided within this period, stating the reasons for rejection.
Returns
-No Products may be returned without Seller’s prior written authorization.
-Returns may be subject to a restocking fee.
Warranty
-Seller warrants that Products will be free from material defects in workmanship and materials under normal use for a period of each product guideline
-This warranty excludes damage due to misuse, neglect, accident, or unauthorized modification.
-Seller’s sole obligation under this warranty is to repair, replace, or refund the defective Product, at Seller’s discretion.
Limitation of Liability
-Seller shall not be liable for any indirect, incidental, or consequential damages.
-Seller’s total liability shall not exceed the purchase price of the Products giving rise to the claim
Force Majeure
Seller shall not be liable for any failure or delay in performance due to acts of God, war, terrorism, labor disputes, shortages, governmental actions, or other causes beyond its reasonable control.
Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of Egypt.
Export Compliance
Buyer agrees to comply with all applicable export control laws and regulations
Entire Agreement
These Terms, together with any order confirmation, invoice, or signed agreement between the parties, constitute the entire agreement and supersede all prior discussions and writings.
Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
